PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY. THEY GOVERN YOUR ACCESS TO AND USE OF THE MARKETING FINANCE NETWORK WEBSITE, MEMBERSHIP SERVICES, AND RELATED SERVICES AND AFFECT YOUR LEGAL RIGHTS AND OBLIGATIONS.

These Terms and Conditions (“Terms”) constitute an agreement between you (“you,” “your,” or “Member”) and Marketing Finance Network (“MFN,” “Company,” “we,” “our,” or “us”).

By accessing or using the MFN website, submitting an application, joining a waitlist, applying for membership, purchasing or maintaining a membership, or otherwise using MFN’s services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy and other applicable policies or agreements.

If you do not agree to these Terms, you should not use the website or Services.

1. About Marketing Finance Network

Marketing Finance Network is a private, invite-only business membership and introductions network serving established businesses.

MFN provides services that may include:

Access to the private Marketing Finance Network;
Membership and network administration;
An initial business call to understand a member’s business, current stage, objectives, and relationship needs;
Business-development and relationship-access support;
Targeted introductions to relevant independent institutions and strategic business relationships when appropriate; and
Membership support and related services.

MFN determines membership eligibility and may accept, decline, suspend, or discontinue membership as permitted by these Terms, the applicable Membership Agreement, and applicable law.

2. Business Audience

MFN is intended for established businesses, business owners, executives, and other authorized business representatives.

MFN is not marketed or offered as a consumer lending product, consumer credit service, investment opportunity, or business-opportunity program.

By applying for or purchasing membership on behalf of a business, you represent that you have authority to provide the submitted information and, where applicable, to act on behalf of that business.

3. Invite-Only Access and Membership Eligibility

Access to certain MFN Services may require a valid invitation code and completion of an application.

Possession or receipt of an invitation code does not guarantee:

Acceptance as a member;
Continued membership;
An introduction to any particular third party;
Financing or capital;
Approval of any transaction;
Investment;
Acquisition;
Revenue;
Business growth; or
Any other particular outcome.

MFN may establish and modify reasonable eligibility requirements for participation in the network.

4. Membership Services

A paid MFN membership provides access to MFN membership and network services as described at the time of enrollment.

Depending on the membership offered, Services may include private network access, an initial business call, business-development support, relationship-access services, targeted introductions, and membership administration.

The specific Services, price, billing cadence, renewal terms, and other applicable membership conditions will be disclosed at checkout or in an applicable Membership Agreement.

Membership does not constitute the purchase of a loan, extension of credit, investment, financing approval, or financial product.

5. No Lending or Financial Institution Role

MFN is not a lender, creditor, bank, underwriter, funder, loan servicer, investment adviser, broker-dealer, or financial institution.

MFN does not itself:

Originate or issue loans;
Extend credit;
Underwrite financing;
Establish financing eligibility or underwriting criteria;
Set interest rates or financing terms;
Approve or deny financing;
Determine credit limits;
Disburse financing proceeds;
Service loans;
Collect loan repayments;
Hold financing proceeds on behalf of members;
Make investment decisions for members; or
Guarantee financing, funding, investment, or approval.

MFN’s role is limited to membership, business-development, relationship-access, network, and introduction services.

6. Independent Third Parties

From time to time, MFN may introduce members to independent third parties that may include financial institutions, capital providers, family offices, receivables-finance providers, investors, buyers, or other strategic business relationships.

Unless expressly stated otherwise in writing, these third parties are independent from MFN.

Each independent third party is solely responsible for its own:

Eligibility requirements;
Evaluation and due diligence;
Underwriting criteria;
Risk assessment;
Pricing;
Rates and terms;
Products and services;
Approval or denial decisions;
Contracts;
Privacy and data-processing practices; and
Performance of its obligations.

An introduction by MFN is a business connection and does not constitute approval, endorsement, underwriting, or a guarantee of a transaction.

Any resulting agreement or transaction is entered into directly between the member and the applicable independent third party.

Members are responsible for conducting their own due diligence and reviewing the terms of any third-party relationship or agreement before entering into it.

7. No Guaranteed Outcomes

MFN does not guarantee that membership will result in:

Any particular introduction;
Financing or funding;
Approval of financing;
Investment;
Acquisition;
Purchase or sale of a business;
Completion of a transaction;
Increased revenue;
Increased profitability;
Business growth;
Improved valuation; or
Any other specific business or financial outcome.

Independent third parties may decline to engage with a member for any lawful reason.

Past experiences or outcomes involving other members do not guarantee future results.

8. No Professional Advice

Information, discussions, introductions, materials, or other communications provided through MFN are for business-development and relationship-access purposes.

MFN does not provide legal, tax, accounting, investment, or individualized financial advice.

Members should obtain appropriate independent legal, tax, accounting, financial, or other professional advice before entering into any material transaction or agreement.

9. Membership Fees and Payment Processing

Members are responsible for paying the membership fees disclosed at checkout.

MFN uses Stripe or other authorized payment processors to process membership payments.

Payments made through MFN’s checkout are payments for MFN membership and network services.

A membership payment is not:

A loan origination fee;
Interest;
A finance charge;
An underwriting or credit-approval fee;
A loan repayment;
An investment contribution;
A deposit toward financing;
Financing proceeds; or
A payment made on behalf of an independent financial institution or other third party.

MFN does not use its Stripe membership checkout to receive or distribute third-party financing proceeds, collect loan repayments, or process investment funds on behalf of independent third parties.

10. Billing, Renewal, Cancellation, and Refunds

Membership pricing, billing cadence, renewal terms, and applicable cancellation conditions will be disclosed at checkout or in the applicable Membership Agreement.

By purchasing a membership, you authorize MFN and its payment processor to charge the payment method provided according to the billing terms presented to you.

Where a membership renews automatically, applicable renewal terms will be disclosed as required by law.

Cancellation and refund requests are governed by MFN’s Refund and Cancellation Policy and any applicable Membership Agreement.

11. Member Responsibilities

Members agree to:

Provide accurate, current, and complete information;
Maintain accurate contact and business information;
Use MFN and the network only for lawful business purposes;
Act professionally when interacting with MFN, other members, and introduced third parties;
Conduct their own due diligence before entering into third-party relationships;
Review contracts and transaction documents independently;
Protect confidential or non-public information received through MFN;
Comply with applicable laws and regulations; and
Comply with these Terms and any applicable Membership Agreement.

Members are solely responsible for their decisions regarding whether to pursue or enter into any relationship, agreement, investment, financing arrangement, or other transaction with an independent third party.

12. Acceptable Use

You may not use the MFN website, membership, network, or Services to:

Engage in unlawful, fraudulent, deceptive, abusive, or harmful activity;
Provide materially false or misleading information;
Impersonate another individual or business;
Attempt to gain unauthorized access to another member’s information or account;
Scrape, harvest, extract, copy, or systematically collect private member or network information;
Use bots, crawlers, automated extraction tools, or similar technology to access restricted network information without authorization;
Solicit members without authorization where such solicitation is prohibited by MFN;
Sell, disclose, distribute, or misuse confidential member or network information;
Circumvent access controls or security measures;
Introduce malware, malicious code, or other harmful technology;
Interfere with the operation or security of the website or network;
Misrepresent an affiliation with or endorsement by MFN;
Use MFN’s name, branding, or content without authorization; or
Violate these Terms, another applicable MFN agreement, or applicable law.

MFN may investigate suspected violations and take appropriate action.

13. Confidentiality and Network Information

Certain information available through MFN may be confidential, proprietary, private, or intended only for authorized members.

Members may not disclose or misuse confidential information obtained through MFN except where authorized by the information owner, required for an authorized business interaction, or required by law.

Membership does not grant a member the right to obtain information about other members or relationships within the network beyond information MFN or the applicable party chooses to disclose.

MFN processes personal information according to its Privacy Policy.

14. Intellectual Property

The MFN website and Services may contain trademarks, trade names, logos, text, graphics, designs, software, documentation, databases, network materials, and other content owned by or licensed to MFN.

Except as expressly permitted, you may not:

Copy;
Reproduce;
Modify;
Republish;
Distribute;
Sell;
License;
Create derivative works from;
Commercially exploit; or
Misrepresent ownership of

MFN’s proprietary content without prior written authorization.

Subject to compliance with these Terms, MFN grants users a limited, non-exclusive, non-transferable, revocable right to access and use the website and applicable Services for their intended business purpose.

No ownership rights are transferred to you through your use of the website or membership.

15. Third-Party Websites and Services

The MFN website or Services may contain links to websites, platforms, products, or services operated by independent third parties.

MFN does not control the content, policies, security, privacy practices, availability, products, services, or business practices of independent third parties.

Your interactions and transactions with third parties are between you and the applicable third party.

You should independently review any applicable agreements, disclosures, privacy policies, and other terms before using third-party services or entering into a transaction.

16. Communications

By providing contact information to MFN, you agree that MFN may send operational and administrative communications reasonably related to:

Your application;
Waitlist or invitation status;
Membership;
Payments;
Account administration;
Requested or accepted introductions;
Member support;
Security;
Changes to the Services; and
Other matters concerning your relationship with MFN.

Marketing calls, text messages, and other promotional communications will be handled in accordance with applicable consent requirements and the disclosures presented when consent is requested.

Consent to receive marketing calls or text messages is not a condition of purchasing membership unless expressly stated and permitted by applicable law.

17. Suspension and Termination

MFN may suspend, restrict, or terminate access to the website, network, or membership where reasonably necessary due to:

Material breach of these Terms or another applicable agreement;
Fraud or suspected fraudulent activity;
Misuse of the network;
Unlawful activity;
Nonpayment;
Unauthorized disclosure or misuse of confidential information;
Security threats;
Material misrepresentation; or
Conduct that creates material risk to MFN, its network, its members, or third parties.

Treatment of prepaid membership fees following termination will be governed by the applicable Membership Agreement, Refund and Cancellation Policy, and applicable law.

Sections of these Terms that by their nature should survive termination will remain effective following termination.

18. Website Availability

MFN may modify, suspend, restrict, discontinue, or update portions of its website or Services from time to time.

MFN does not guarantee that the website or Services will always be uninterrupted, error-free, secure, or available.

Maintenance, security events, third-party service interruptions, technical failures, or other circumstances may temporarily affect availability.

19. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE MFN WEBSITE, MEMBERSHIP, NETWORK, CONTENT, AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

MFN MAKES NO WARRANTY THAT THE WEBSITE OR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE, OR THAT MEMBERSHIP WILL RESULT IN ANY PARTICULAR BUSINESS, FINANCIAL, INVESTMENT, OR TRANSACTIONAL OUTCOME.

MFN DOES NOT WARRANT OR GUARANTEE THE PRODUCTS, SERVICES, REPRESENTATIONS, PERFORMANCE, FINANCIAL CONDITION, OR CONDUCT OF ANY INDEPENDENT THIRD PARTY.

NOTHING IN THESE TERMS EXCLUDES WARRANTIES OR RIGHTS THAT CANNOT LAWFULLY BE EXCLUDED.

20. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MFN AND ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE WEBSITE, MEMBERSHIP, NETWORK, SERVICES, OR AN INDEPENDENT THIRD-PARTY RELATIONSHIP.

MFN IS NOT RESPONSIBLE FOR THE INDEPENDENT DECISIONS, PRODUCTS, SERVICES, TERMS, APPROVALS, DENIALS, PERFORMANCE, ACTS, OR OMISSIONS OF THIRD PARTIES INTRODUCED THROUGH OR OTHERWISE CONNECTED WITH THE NETWORK.

Any limitation of liability will apply only to the extent permitted by applicable law.

21. Indemnification

To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless MFN and its owners, officers, directors, employees, representatives, contractors, and agents from claims, liabilities, damages, losses, costs, and reasonable expenses arising from or related to:

Your material breach of these Terms;
Your unlawful or unauthorized use of the website, network, or Services;
Information or materials you provide through MFN;
Your violation of another person’s or entity’s rights; or
Your independent dealings or agreements with third parties,

except to the extent a claim results from MFN’s own conduct for which liability cannot lawfully be excluded.

22. Privacy

Your use of the MFN website and Services is also subject to the MFN Privacy Policy.

The Privacy Policy explains how MFN collects, uses, shares, retains, and protects personal information and describes certain privacy rights that may apply.

23. Changes to These Terms

MFN may update these Terms prospectively from time to time to reflect changes in its Services, business practices, technologies, legal requirements, or other operational considerations.

When changes are made, MFN may update the Effective Date shown at the top of these Terms.

Where required by applicable law, material changes may be communicated through the website, email, or other appropriate means.

Your continued use of the Services after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by applicable law.

24. Governing Law and Dispute Resolution

25. Additional Agreements

Privacy Policy;
Financial Services Disclaimer;
Refund and Cancellation Policy; and
Checkout and billing disclosures.

If there is a conflict between these Terms and a separately executed Membership Agreement concerning membership-specific matters, the Membership Agreement will control with respect to those matters unless expressly stated otherwise.

26. Severability

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by law or severed where necessary, and the remaining provisions will remain in effect.

27. No Waiver

MFN’s failure to enforce any provision of these Terms does not constitute a waiver of that provision or MFN’s right to enforce it in the future.

28. Entire Agreement

These Terms, together with the applicable Membership Agreement, Privacy Policy, Financial Services Disclaimer, Refund and Cancellation Policy, checkout disclosures, and any other expressly incorporated terms, constitute the applicable agreement concerning your use of MFN’s website and Services.
